Welcome to Postavant (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website (the “Site”) and all related services, including advisory services, memberships, and any other offerings (collectively, the “Services”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site or Services.



1. Company Information

Postavant provides private advisory services and curated membership programs in the fields of fine art, cultural strategy, and collecting.



2. Eligibility

The Site and Services are intended for users who are at least 18 years of age. By using the Site or Services, you represent and warrant that you meet this requirement.



3. Definitions

For purposes of these Terms:
- "User" refers to any visitor accessing or using the Site.
- "Client" refers to any individual or entity who engages Postavant for private advisory services.
- "Member" refers to any individual enrolled in Postavant’s Membership Program.
- "You" and "your" refer to Users, Clients, and Members collectively unless otherwise indicated.



4. Intellectual Property and License

All materials provided on the Site, including but not limited to text, images, logos, graphics, downloads, and documentation ("Content"), are the intellectual property of Postavant or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Content without our express prior written consent.



5. Acceptable Use

You agree to use the Site and Services in a lawful manner and not to:
- Harass, threaten, or harm any individual or disrupt the Site’s operations;
- Infringe upon the intellectual property rights or privacy rights of others;
- Upload, post, or transmit any content that is offensive, defamatory, fraudulent, or illegal;
- Attempt to gain unauthorized access to any systems or networks connected to the Site.

We reserve the right to suspend or terminate access to any user who violates these Terms.



6. Accounts, Security, and Membership Access

To access certain features of the Site or Services, you may be required to create an account. You agree to:
- Maintain the confidentiality of your account credentials;
- Ensure that all information provided is accurate and current;
- Notify us immediately of any unauthorized access to your account;
- Not share your login information with others or allow unauthorized access.

Memberships and accounts are personal to the individual purchaser and may not be transferred, assigned, or shared without our prior written consent.

You are responsible for all activities that occur under your account.



7. Services and Memberships

We offer the following Services:
- Private Advisory Engagements (retainer-based agreements);
- Membership Programs (group advisory and access benefits).

Service details, deliverables, and pricing will be outlined separately for each client or member. Memberships renew automatically unless canceled in accordance with Section 8.



8. Subscriptions and Cancellation Policy

Membership subscriptions automatically renew on a monthly or annual basis, as applicable.

To cancel your subscription, you must provide written notice at least 30 days prior to your next billing date.

No partial refunds will be provided for any remaining term following cancellation.



9. Payment Terms

We accept payment by credit card, PayPal, and wire transfer.

By submitting payment information, you authorize Postavant to charge all applicable fees to your chosen payment method.

You agree to maintain valid, up-to-date billing information at all times. Failure to process payments may result in suspension or termination of your access to the Services.



10. Delivery of Services and Products

Digital services (advisory sessions, reports, membership benefits) will be delivered via electronic means.

If physical goods are offered, standard delivery times apply (5-7 business days within Canada, longer internationally).

Delivery fees, customs duties, and taxes (for international shipments) are the responsibility of the client.



11. Refunds and Guarantees

- Goods: Refund requests must be made within 30 days of receipt.
- Services : Refunds for services are only available if cancellation notice is provided at least 30 days prior to the next billing cycle.
- Memberships: Fees are non-refundable after the start of a billing cycle.

Any risk-free guarantee (e.g., 7-day, 14-day, 30-day) will be expressly stated where applicable.



12. Code of Conduct

Members agree to engage with other members and Postavant representatives respectfully, professionally, and in accordance with all applicable laws. Disruptive, abusive, or inappropriate behavior may result in suspension or termination of membership without refund.



13. Third-Party Services

The Site may reference or provide access to third-party services. Postavant does not control, endorse, or assume responsibility for any third-party content, services, or transactions.

You agree to use third-party services at your own risk.



14. Disclaimer

The information, insights, and recommendations provided by Postavant are for informational purposes only and are based, in part, on data, valuations, and information sourced from third parties believed to be reliable. Postavant does not guarantee the accuracy, completeness, or reliability of third-party information, and assumes no liability for errors or omissions.

Postavant does not provide investment advice, financial advice, legal advice, or tax advice. Participation in the art market, luxury asset markets, and all associated activities involves risks, including the potential for loss of value. Clients are solely responsible for conducting their own due diligence and consulting with qualified financial, legal, or tax advisors before making decisions based on any information provided by Postavant.

All decisions are made at the sole discretion and risk of the client. Past performance is not indicative of future results.



15. Limitation of Liability

To the fullest extent permitted by law, Postavant, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, arising from your use of the Site or Services.



16. Indemnification

You agree to indemnify and hold harmless Postavant, its officers, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of your use of the Site or Services or your violation of these Terms.



17. Force Majeure

Postavant shall not be held liable for any delay or failure in performance of its obligations under these Terms if such delay or failure arises from any cause beyond its reasonable control, including but not limited to acts of God, labor disputes, governmental actions, natural disasters, pandemics, or interruptions in Internet services.



18. Modifications to Terms

We reserve the right to amend these Terms at any time. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site or Services after changes constitutes acceptance of the revised Terms.



19. Links to Other Websites

The Site may contain links to external websites. Postavant is not responsible for the content or practices of third-party sites.



20. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles.



21. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
